Terms of Service

The agreement

These Terms of Service ("Terms") govern your access to and use of the BASE service operated by TRADE ESTATE SE ("BASE", "we", "us"). By creating an account or using BASE, you agree to these Terms and to our Privacy Policy.

If you don't agree, please don't use the service.

How BASE is distributed. BASE is a web application accessed at app.base-ai.app. You can use it in any modern browser or install it to your home screen / desktop as a Progressive Web App (PWA). There is no separate native mobile app at this time; the installable version is the same web application running in a dedicated window.

Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use BASE. By using the service, you confirm that you meet this requirement.

BASE is currently available worldwide, except in jurisdictions where the service is restricted by law or where local regulations prevent us from operating.

Your account

• You're responsible for keeping your account credentials private. Don't share your password.
• You're responsible for all activity that happens under your account.
• Notify us immediately at security@base-ai.app if you suspect unauthorized access.
• One account per person. Don't create multiple accounts to evade limits or restrictions.

Using BASE

You agree to use BASE only for lawful personal or business administration tasks. You agree not to:

• Use BASE to violate any law or third-party rights.
• Bypass consent, security or platform policies (yours or anyone else's).
• Attempt to access, modify or interfere with BASE infrastructure, agents, or other users' accounts.
• Use automated systems (scrapers, bots) to access the service except through documented APIs.
• Resell, sublicense or commercially exploit the service without our written permission.
• Upload malicious content (malware, illegal material, hate speech, content that infringes others' rights).
• Use BASE to send spam, harass others, or impersonate someone.

You agree to review AI-generated outputs before relying on them or sending them externally. BASE's agents prepare drafts and structured information; you remain responsible for what you choose to send, sign, pay, or act on.

Professional boundaries

BASE is not a doctor, lawyer, accountant, tax advisor, financial advisor, bank, insurance company or emergency service.

The BASE agents can:

• Structure your information.
• Prepare questions for your professional consultation.
• Help you understand records and documents you already have.
• Track deadlines, reminders and follow-ups you create.
• Prepare drafts of calls, emails and bookings for your approval.

The BASE agents do not replace professional judgment:

• Do not use BASE for medical diagnosis or treatment decisions. Consult a qualified clinician.
• Do not use BASE as legal advice or representation. Consult a qualified lawyer.
• Do not use BASE as tax, accounting or investment advice. Consult a qualified advisor.
• In an emergency, call your local emergency number. BASE is not an emergency service.

Your content

You retain ownership of all content you upload to or create within BASE (documents, receipts, notes, messages, goals).

You grant BASE a limited, worldwide, non-exclusive license to process, store and display this content solely to provide the service to you. We do not use your private content (documents, finance, wellness, mentor conversations) to train external AI models.

You're responsible for the legality of the content you upload. You confirm you have the right to upload and use the content you provide to BASE.

Subscriptions & payments

BASE may offer free, paid and PRO-module plans. Specific details (price, billing period, included features) are shown at the point of purchase and confirmed by email after you subscribe.

How payments work

• Payments are processed via an approved third-party payment provider (named in our sub-processor list). We don't store your full payment card details on our servers.
• Prices are stated in EUR unless otherwise indicated. VAT or other taxes are added where applicable, based on your billing country.
• PRO modules, additional storage, voice-call minutes and other usage-based add-ons may be billed separately from a base subscription, with their pricing shown before purchase.

Renewal & cancellation

• Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before renewal.
• You can cancel anytime from your Profile settings or by emailing billing@base-ai.app from your registered address. Cancellation takes effect at the end of the current paid period — you keep access until then.
• Cancellation stops future billing. We do not pro-rate refunds for the unused portion of a paid period unless EU mandatory consumer law requires otherwise.
• Trials (when offered) auto-convert to the paid subscription at the trial's end unless you cancel before then. You will be reminded by email at least 3 days before conversion.

EU right of withdrawal

If you are a consumer in the EU, you have a statutory 14-day right of withdrawal from the moment your subscription is concluded (Directive 2011/83/EU, transposed in Czech law in §1820 ff. of Act No. 89/2012 Sb.).

You may withdraw without giving any reason by emailing billing@base-ai.app within 14 days. We will refund any payment received within 14 days of receiving your withdrawal notice.

Note about digital services: if you ask us to start providing the paid service immediately (before the 14-day period ends) and we do so with your express consent and acknowledgement that you lose your right of withdrawal, you may be charged proportionally for the service used before withdrawal.

Failed payments

If a payment fails, we will retry and notify you by email. If we cannot collect payment within a reasonable period, your subscription may be downgraded to the free tier or suspended; your content is retained per the Retention rules in the Privacy Policy.

Intellectual property

BASE, the BASE logo, the agent names and the underlying software are the intellectual property of TRADE ESTATE SE. You're granted a limited, non-transferable, revocable right to use the service in accordance with these Terms.

Nothing in these Terms transfers ownership of BASE's intellectual property to you. Don't copy, mirror, reverse-engineer or create derivative works of the service except as expressly permitted by law.

Disclaimer of warranties

BASE is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties — express, implied or statutory — including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted operation.

AI outputs may contain errors. Document extraction may miss fields. Translations may be imperfect. Call preparation may need editing. Always review before relying on AI-generated content.

Limitation of liability

To the maximum extent permitted by law, TRADE ESTATE SE, its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising from your use of the service.

Our total liability for any claim arising out of or relating to the service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or 100 EUR, whichever is greater.

Nothing in these Terms excludes liability that cannot be excluded under applicable consumer protection law.

Suspension & termination

You can terminate your account at any time. Self-service deletion is being rolled out in Profile during the early-access phase; until then, please email privacy@base-ai.app from your registered address and we will action the request within 30 days (GDPR statutory limit), typically within 1–3 business days.

We may suspend or terminate your access if you violate these Terms, abuse the service, or use BASE in a way that creates risk for us or other users. Where reasonable, we'll give you notice and a chance to fix the issue first.

On termination: your access ends, your active content is removed (subject to legal retention requirements such as billing records under Czech accounting law). Encrypted backups may persist for up to 30 days before automatic erasure. Sections of these Terms that by their nature should survive termination (IP, liability limits, governing law) continue to apply.

Changes to these terms

We may update these Terms from time to time. The version number and "Effective" date at the top reflect the current version. Material changes affecting paid subscriptions or your rights will be communicated by email at least 14 days in advance, with a brief plain-language summary of what changed. If you don't accept the changes, you may cancel your subscription before they take effect.

Governing law & disputes

These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-laws principles. The Municipal Court in Prague (Městský soud v Praze) has non-exclusive jurisdiction.

If you're a consumer in the EU, you also have the protections of the mandatory consumer law of your country of residence. Nothing in these Terms removes those protections.

EU consumers may use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
